The role of Corporate Counsel – M&A and Corporate Affairs contributes to our growing in-house legal team and works on complex issues in a dynamic and fast-paced environment. This position reports to the Associate General Counsel. This role provides legal advice and counsel to development, strategy, finance and operations teams throughout the organization on acquisitions, mergers, joint ventures, de novo developments, divestitures, equity investments and other sophisticated transactions, as well corporate governance, entity management, commercial finance and tax matters.
Responsibilities

- →Supports the growth of AMSURG and assists in facilitating transactions across the organization, including drafting transaction agreements, leading negotiations, and performing and supervising due diligence.
- →Advises and collaborates with key leaders to help structure transactions, identify and mitigate legal issues, and assist in crafting solutions to protect the company's interests.
- →Conducts legal research and analysis to provide recommendations and prepares written opinions and guidance for management teams and other internal clients.
- →Supports corporate governance processes, including assisting with maintenance of governance policies and practices and preparation of board and committee materials at various levels throughout the organization
- →Oversees entity management, structuring and compliance across the organization
- →Provides legal support and guidance on commercial finance and tax matters
- →Assists with special projects and performs other job-related duties as
- →Acts as a liaison between management and internal or external legal experts on matters beyond AMSURG Corporate Counsel – M&A and Corporate Affairs’ core substantive expertise.
