The Assistant General Counsel is a pivotal role designed for a highly skilled legal professional with a keen understanding of corporate, securities, real estate, and litigation matters, including executive compensation, equity-based incentive programs, and public company governance obligations. The role requires the ability to navigate complex legal challenges, provide sound counsel on a broad range of issues, and uphold the highest standards of compliance and ethical integrity. Ideal candidates will demonstrate a robust track record in legal advisory, real estate transactions, commercial leasing, mergers and acquisitions, litigation management, securities compliance, executive compensation, and risk assessment, combined with a collaborative approach that supports the Company's mission and business objectives.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Provide legal counsel and support related to the Company’s executive compensation programs, including Long-Term Incentive Plans (LTIPs), Restricted Stock Units (RSUs), performance-based equity awards, and other incentive compensation arrangements.
Partner with Human Resources, Finance, Payroll, and executive leadership to ensure the design, administration, and governance of equity and incentive compensation programs comply with applicable laws, regulations, and plan documents.
Advise on securities law matters impacting equity compensation, including compliance with SEC reporting requirements, insider trading regulations, Section 16 obligations, Rule 10b5-1 plans, and stock ownership guidelines.
Support the preparation, review, and filing of proxy statement disclosures, Forms 3, 4, and 5, and other executive compensation and governance-related disclosures.
Provide legal guidance regarding compensation committee matters, including drafting materials, resolutions, and governance documents supporting executive compensation decisions.
Monitor and advise on legal and regulatory developments affecting executive compensation, equity awards, clawback requirements, pay-versus-performance disclosures, and other public company governance obligations.
Support mergers, acquisitions, and other corporate transactions by assessing the impact on outstanding equity awards, retention programs, and executive compensation arrangements.
Develop and maintain policies, procedures, and training related to insider trading, equity award administration, executive compensation governance, and related compliance requirements.
Collaborate with internal and external stakeholders to ensure compliance with applicable federal and state laws, stock exchange requirements, and corporate governance standards.
SUPERVISORY RESPONSIBILITIES
Supervises assigned employees both on site and remotely located, including staff selection and training; planning, assigning and directing work; conducting performance reviews; rewarding and disciplining employees; addressing complaints and resolving problems.
MINIMUM REQUIREMENTS
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.
Education: A Juris Doctor (J.D.) degree from an accredited law school.
Licensing: Active membership in good standing with a state bar association.
Experience: A minimum of 5-10 years of relevant litigation experience, ideally in a combination of law firm and in-house counsel roles.
Communication Skills: Excellent written and oral communication skills, with the ability to translate complex legal concepts into practical business guidance.
Soft Skills: Strong analytical and problem-solving skills, sound judgment, high ethical standards, and the ability to work independently and collaboratively in a fast-paced environment.
Leadership: The ability to influence with impact, manage complex, cross-border matters, and potentially supervise junior legal staff.
