Position Description 

 

We are seeking a highly skilled and experienced Senior Paralegal to join our legal team. This individual will play a critical role in supporting our varied legal needs. The ideal candidate is detail-oriented, proactive, and thrives in a dynamic, fast-paced, and highly regulated environment. 

 

Responsibilities 

 

Corporate Governance & Compliance 

  • Assist in board and committee meeting preparation, manage board portal and maintain board minutes. 
  • Support the Company’s compliance efforts with applicable federal and state healthcare regulations and industry guidelines, including the Anti-Kickback Statute, HIPAA and AdvaMed guidelines regarding interactions with healthcare professionals. 
  • Manage various state and federal compliance filings. 
  • Assist with the preparation of periodic SEC reports and Section 16 filings. 
  • Support the legal team in the preparation of the proxy statement and the execution of the annual stockholder meeting. 

 

Contract Management 

  • Establish and manage the Company’s contract management system (assist with system configuration, build contract database, develop and generate a variety of contract reports, administer contract signature process). 
  • Support the Chief Legal Officer in the drafting, review, and negotiation of a variety of commercial contracts (e.g., NDAs, MSAs, vendor agreements). 
  • Serve as a liaison between legal, leadership, and business units for contract-related matters. 

 

Operational and Administrative Support 

  • Assist finance department with various stock administration needs. 
  • Provide ad hoc support with respect to intellectual property matters as required. 
  • Conduct legal research on a variety of issues. 
  • Manage and maintain records, filings and other legal documentation. 
  • Develop and refine internal legal processes and workflows for efficiency and scalability. 
  • Support various legal projects and initiatives as needed. 

 

Skills 

  • Excellent organizational, project management, writing, and communication skills. 
  • Ability to handle sensitive and confidential information with discretion. 
  • Proficiency with legal software tools (e.g., CLM systems, Docusign, SharePoint, etc.). 

 

Qualifications 

 

Education & Certification 

  • Bachelor’s degree required. 
  • Paralegal certificate from an ABA-approved program strongly preferred. 
  • Certified Paralegal (CP) or Advanced Certified Paralegal (ACP) designation is a plus. 

 

Experience 

  • Minimum of 7+ years of experience as a paralegal, with at least 3+ years in a public med tech, biotech, or life sciences environment. Prior experience at a top-tier law firm is a plus. 
  • Substantial experience with contract management systems and board portals is a must. Experience with equity administration platforms is a plus. 
  • Understanding of FDA, HIPAA and other healthcare regulatory frameworks.

Compensation 

We are pleased to provide a competitive salary and benefits. Our benefits reflect our investment in the overall health and well-being of our employees and their families. including paying 100% of monthly healthcare, dental & vision insurance premiums, a 401(k) plan with employer matching and unlimited PTO. The expected pay range is: $115,000 to $130,000 annually. Compensation may vary based on related skills, experience, and relevant key attributes.
