About the Role
~1 min readFor our client, an international company operating in private equity environment, we are looking for a Senior M&A In-house Lawyer (m/f/x). The selected candidate will join the in - house legal team and will be responsible for comprehensive transaction support, from structuring to finalization, working directly with the investment team and external law firms.
Independently conducting M&A transactions, including supervision of the entire transaction process
Negotiating and preparing key transaction documentation, in particular SPA, SHA, and accompanying documents
Managing and coordinating the work of external law firms (local and international) at various stages of the transaction
Working closely with the fund's investment team to structure transactions and assess legal risks
Participating in due diligence
Negotiating and reviewing commercial agreements, including agreements relating to software and IT solutions
Providing legal support to the fund's portfolio companies in corporate and transactional matters
Minimum 8 years of professional experience in M&A, gained in top international law firms
Experience in independently conducting complex M&A transactions and negotiating transaction documentation
Very strong negotiation skills, in particular in the area of SPA
Experience in negotiating contracts related to the IT industry
Ability to effectively manage the work of law firms in transaction projects
Professional title of legal advisor or attorney or equivalent professional qualifications obtained in other jurisdictions
Very good knowledge of spoken and written English
Knowledge of German will be an additional advantage
High level of independence, decisiveness, and ability to work in a dynamic transactional environment
