Smartsheet is seeking a talented, business-minded Corporate Counsel to join our collaborative global legal team. In this role, you will act as a trusted advisor supporting our Go-To-Market (GTM) and People functions, alongside broader corporate and operational initiatives.

This is an exciting opportunity for an agile practitioner with strong commercial SaaS experience and generalist capabilities to drive business growth while safeguarding the company across the Asia-Pacific (APAC) region.

This position reports to the Senior Director of Legal and is remote eligible.  This is a permanent full-time opportunity and based in Sydney.

Responsibilities

  • Negotiate, draft, and review commercial agreements concerning online subscription software, data privacy and processing, intellectual property use, and professional services.
  • Work with the global Legal and People teams on employment law matters.
  • Provide strategic and practical legal advice on corporate governance and other legal projects as business needs evolve.
  • Collaborate with all members of the legal team across international office locations, including attorney and non-attorney personnel.
  • Identify legal risks and issues, offering practical, commercially appropriate solutions to manage and mitigate them effectively.
  • Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents.
  • Deliver training and guidance to employees on legal issues, best practices, and company policies.
  • Support general business operations by responding to requests for assistance from non-sales personnel as needed.
  • Complete special projects as requested.
  • Other duties as required 

Requirements

  • Admitted to practise in an Australian jurisdiction, with a current or readily obtainable practising certificate.
  • 5+ years post-qualification experience, ideally featuring a mix of private practice and in-house experience.
  • 5+ years of experience drafting and negotiating technology contracts such as software licenses, software-as-a-service (SaaS) agreements, software development agreements, and IT professional services agreements.
  • Experience working directly with sales representatives and advising business teams on issues relevant to customer contracts. 
  • Substantive experience handling employment matters. 
  • Ability to analyse problems and recommend practical solutions that balance legal and business risks.
  • Skilled at developing strong working relationships with other business units despite competing priorities and interests.
  • Aptitude and disposition to uphold company’s business standards and risk tolerance.
  • Excellent interpersonal skills, business judgment, and strategic thinking.
  • Flexible with a service-oriented mentality.
  • Persistent attention to detail.
  • Able to operate in a fast-paced environment that places a high premium on excellence, execution, and teamwork.
  • Ability to monitor legal and regulatory developments relevant to Smartsheet. 
  • In-house legal department experience at a cloud software company preferred.
  • Experience working across Asia Pacific and Japan is preferred.
