The Tax Manager will lead and manage the tax compliance, tax accounting, and reporting functions for a private equity-backed organization and its portfolio companies. This role is responsible for overseeing income tax, sales and use tax, property tax, excise tax, and business license compliance, as well as managing the accounting for income and indirect taxes, including provisions, journal entries, and balance sheet reconciliations. The Tax Manager will partner closely with finance leadership, portfolio company controllers, and external advisors to ensure accurate reporting, strong internal controls, and proactive tax planning in a fast-paced private equity environment.
Key Responsibilities
- Manage and review federal, state, and local income tax returns for multiple entities and structures (partnerships, corporations, and pass-throughs).
- Support the annual income tax provision process, including current and deferred tax calculations, uncertain tax positions, and supporting schedules.
- Review return-to-provision analyses and ensure proper documentation and transparency.
- Identify and implement tax planning opportunities, including entity structuring, acquisitions, dispositions, and restructurings.
- Serve as the primary point of contact for external tax advisors and taxing authorities; manage information requests, notices, and examinations.
- Oversee multi-state sales and use tax compliance, including registrations, filings, payments, and ongoing nexus monitoring.
- Review transaction taxability analyses and ensure proper application of exemptions and resale certificates.
- Manage sales and use tax audits and nexus studies, including data requests and audit defense.
- Establish and maintain processes and controls to support indirect tax compliance across portfolio companies.
- Manage property tax compliance and reviews, including data submissions, renditions, assessments, appeals, and payment tracking.
- Oversee excise tax filings, where applicable, and ensure timely and accurate reporting.
- Maintain oversight of business licenses, permits, and registrations across jurisdictions, including new entity formations and renewals.
- Oversee preparation and review of tax-related journal entries, including current, deferred, and indirect tax accruals, in accordance with U.S. GAAP.
- Review and approve monthly and quarterly balance sheet reconciliations for tax-related accounts, ensuring accuracy, completeness, and adequate support.
- Analyze and explain tax-related variances, including effective tax rate analysis.
- Support month-end, quarter-end, and year-end close processes related to taxes.
- Ensure compliance with internal controls, and audit standards.
- Support tax due diligence efforts for acquisitions and dispositions, including coordination with external advisors and internal stakeholders.
- Support post-acquisition integration of tax compliance, tax accounting, and reporting processes.
- Provide tax-related schedules and documentation for internal audits, external audits, and lender requests.
- Advise management team on tax matters, compliance requirements, and process improvements.
- Develop, document, and improve tax processes, policies, and internal controls.
- Identify opportunities to automate and streamline tax compliance and reporting.
- Stay current on changes in federal, state, and local tax laws and assess impacts to the organization.
Requirements
~1 min read- Bachelor’s degree in Accounting, Finance, or Tax; Master’s degree preferred
- CPA strongly preferred.
- 5+ years of progressive tax experience in public accounting, private equity, or a multi-entity environment.
- Strong knowledge of U.S. federal and multi-state income taxes, as well as indirect taxes (sales/use, property, excise).
- Hands-on experience with income tax provisions and tax accounting under U.S. GAAP.
- Proven ability to manage multiple deadlines, lead projects, and communicate effectively with both technical and non-technical stakeholders.
- Strong attention to detail, analytical skills, and leadership capabilities.
