We are seeking a results-driven Manager to lead tax advisory engagements supporting mergers, acquisitions, divestitures, and strategic transactions. Managers oversee day-to-day engagement delivery, mentor Consultants, collaborate with senior client stakeholders, and serve as trusted advisors in delivering tax due diligence, transaction structuring, and post-transaction advisory services.
- Lead tax due diligence engagements for mergers, acquisitions, divestitures, and other strategic transactions.
- Review financial statements, tax returns, and other financial information to identify potential tax exposures and transaction risks.
- Lead discussions with buyers, sellers, clients, and external advisors to assess transaction structures and identify tax risks.
- Advise clients on transaction structuring, tax planning, and alternative transaction structures to optimize tax outcomes.
- Lead post-transaction integration activities, including voluntary disclosure agreements, tax compliance considerations, and remediation planning.
- Perform and review IRC Section 382 ownership change and limitation analyses, including NUBIG analyses where applicable.
- Develop and review client-ready due diligence reports, tax memoranda, technical analyses, and presentation materials.
- Mentor Consultants by providing technical guidance, coaching, and performance feedback.
- Participate in proposal development, client relationship management, recruiting, and business development initiatives.
Requirements
~1 min read- 5+ years of experience in corporate tax, M&A tax, transaction tax, public accounting, and/or corporate tax consulting.
- Experience leading tax due diligence, transaction advisory, tax planning, corporate restructuring, and/or M&A tax engagements.
- Experience applying U.S. federal and/or state and local tax principles related to mergers, acquisitions, corporate transactions, and restructuring.
- Experience leading tax due diligence engagements for private equity, strategic acquisitions, divestitures, or corporate restructuring transactions.
- Experience advising clients on transaction structuring, tax-efficient reorganizations, IRC Section 382 analyses, and post-transaction integration planning.
- Experience applying U.S. federal income tax rules related to corporations, partnerships, S corporations, reorganizations, and complex transaction structures.
- Experience researching technical tax issues, preparing tax memoranda, and interpreting evolving tax legislation and regulatory guidance.
- Experience collaborating directly with private equity firms, investment bankers, attorneys, corporate development teams, and other transaction advisors.
- Experience leading project teams, mentoring junior professionals, and contributing to proposal development, business development, or practice initiatives.
Nice to Have

- Bachelor’s degree in Accounting, Finance, Taxation, Business, or a related field.
- Experience supporting private letter rulings (PLRs), IRS technical advice requests, or tax controversy matters.
- Experience with tax research platforms, tax compliance software, financial modeling tools, or transaction data room technologies.
- Excellent interpersonal, written, and verbal communication skills with the ability to build relationships across client and engagement teams.
- Proactive in identifying client needs and developing trusted client relationships.
- Highly organized with the ability to manage multiple workstreams and competing priorities.
- Strong analytical and structured problem-solving abilities.
