Fermi is seeking an experienced Deputy General Counsel to manage the company’s commercial litigation, arbitration, and pre-litigation disputes while providing broad legal support across its operations and portfolio.


The successful candidate will have substantial commercial litigation experience, meaningful experience drafting and negotiating business agreements, and the judgment necessary to translate complex legal risks into practical recommendations. This attorney must be capable of independently directing disputes, managing outside counsel and legal budgets, and advising executives and business teams on a diverse range of legal matters.

Responsibilities

  • →Manage Fermi’s commercial litigation, arbitration, and pre-litigation disputes, including construction, procurement, and vendor matters.
  • →Develop case strategy and oversee matters through investigation, discovery, motion practice, trial, arbitration, settlement, and appeal, as applicable.
  • →Select, engage, and supervise outside litigation counsel, including responsibility for case strategy, staffing, performance, and budgets.
  • →Prepare case assessments, risk analyses, and settlement recommendations for senior management and the Board of Directors.
  • →Oversee litigation holds, document preservation, e-discovery, subpoena responses, and related information-governance processes.
  • →Draft, review, and negotiate commercial, vendor, procurement, and construction agreements.
  • →Assist Fermi and its portfolio companies with mergers and acquisitions, financing, real estate, and other transactions as needed.
  • →Advise business teams on procurement, employment, operational, and general commercial legal matters.
  • →Identify emerging legal risks and implement practical strategies to mitigate potential disputes.
  • →Provide legal support across the Fermi organization and portfolio on other matters as required.

Requirements

  • Juris Doctor degree from an ABA-accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction; admission to the State Bar of Texas is preferred.
  • Seven to ten years of full-time legal experience, preferably with a large law firm, an in-house corporate legal department, or a combination of both.
  • Substantial commercial litigation experience in state and federal courts and arbitration proceedings.
  • First- or second-chair responsibility in significant disputes.
  • Meaningful transactional experience drafting and negotiating commercial contracts.
  • Demonstrated ability to select and manage outside counsel, control litigation costs, and administer legal budgets.
  • Strong written and oral advocacy, communication, negotiation, and interpersonal skills.
  • Sound judgment and the ability to translate legal exposure into clear, practical, business-oriented advice.
  • Ability to work independently, manage competing priorities, and perform effectively in a fast-paced and evolving environment.
  • Experience handling disputes involving energy, construction, infrastructure, procurement, or large-scale development projects.
  • Experience advising on employment and operational legal matters.
  • Admission to the State Bar of Texas.
  • Residence in the Dallas–Fort Worth metropolitan area and the ability to work from the office.
