Responsibilities
~1 min readThe Legal Counsel, Corporate, is a member of the Geotab in-house legal team and is responsible for managing complex corporate and commercial transactional agreements and negotiations. Specific areas of focus include a wide range of (private and public) corporate transactions, both domestically and cross-border, including acquisitions, investments, divestitures, restructurings and joint ventures. In addition, the role of Legal Counsel, Corporate, will be expected to contribute to Geotab’s general corporate and commercial matters.
- Manage complex corporate and commercial agreements with a major focus on corporate transactions, both domestically and cross-border, including acquisitions, investments, divestitures, restructurings and joint ventures.
- Support the post-acquisition and integration of acquired entities or investments.
- Support legal aspects of risk management strategies with focus on corporate structuring.
- Support Geotab’s global strategic initiatives, including global expansion and new market entry.
- Draft, review, and negotiate commercial and finance agreements, including partnering agreements, purchase agreements, confidentiality agreements, debt agreements, licensing agreements, and various vendor and supply agreements.
- Support negotiations with resellers, customers, solution partners, OEMs, suppliers, governments and other stakeholders in a global context; integrate legal, technical and business considerations with a focus on practical solutions and strong business relationships.
- Advise on legal strategy for high-volume electronic contracting, pass-through of terms to third parties, and products that change frequently through continuous upgrades.
- Advise on industry-wide issues affecting Geotab and its stakeholders, including AI, big data, the Internet of Things (IoT), data privacy and other emerging regulatory topics.
- Develop in-depth technical knowledge and understanding of Geotab product offerings.
- Provide legal support for product design, development and implementation activities.
- Provide general legal support for corporate, commercial and human resources/employment matters.
- Bachelors in a related field; Post-Secondary Degree/Diploma Specialization in Law with license to practice in Ontario.
- Member in good standing with the Law Society of Ontario.
- Broad corporate and M&A experience, with a particular focus on technology transactions.
- An understanding of global corporate and tax structuring considerations.
- Familiarity with common and civil law jurisdictions.
- Ability to think strategically and work collaboratively with senior management to pursue opportunities and negotiate transactions. Works actively with business partners and outside counsel on a broad range of corporate matters.
- A collaborative self-starter and team player with strong business acumen and excellent interpersonal skills, able to engage with all levels of the organization.
- Experience negotiating and working with large, multi-national, regulated organizations, including federal, state and local government entities.
- The ability to read, write, and speak multiple languages is an asset.
- Previous exposure to and affinity for software, programming, computing and related technology.
- Thorough understanding of the telematics industry and applicable legislation and regulations.
- Strong sense of ethics and the ability to handle sensitive or private information with tact and discretion.
- Knowledge of data privacy and AI laws.
- A well-defined sense of diplomacy, including solid negotiation, conflict resolution, and relationship management skills.
- Excellent verbal and written communication skills, including comfort with delivering presentations and public speaking.
- Highly organized, with meticulous attention to detail and the ability to manage multiple tasks and projects simultaneously.
- Strong project management skills; able to identify needs, develop effective solutions and manage projects through to completion.
- Strong analytical skills; able to work through problems to well-judged decisions.
- Strategic mindset, has a keen sense of priorities, along with an ability to pivot as the landscape changes.
- Technical competence using software programs, including, but not limited to, Google Workspace (Sheets, Docs, Slides).
- Entrepreneurial mindset and comfortable in a flat organization.

The annual base salary for this position is the expected annual salary for this role, and may be subject to change. Geotab offers various perks and benefits and other compensation components that an individual may be eligible for. The actual base salary for this position depends on a variety of factors such as but not limited to skills, qualifications, education and overall experience, including the location the applicant lives while performing the job. This also includes equity with other team members and alignment with local market data.
