We are seeking an experienced and highly organized Legal Operations Manager to oversee the operational infrastructure of the Legal Department. This role is responsible for corporate governance administration, stock plan and equity administration, legal technology (including eBilling), and ownership of the department’s budgeting and financial management processes.
The ideal candidate combines strong corporate governance knowledge, equity administration expertise, financial acumen, and process-driven operational leadership. This role is critical to ensuring the Legal team operates efficiently, compliantly, and strategically.
Manage corporate governance processes for U.S. and international entities
Coordinate and prepare board and committee meeting materials, resolutions, minutes, and consent
Maintain corporate records, minute books, and entity management systems
Serve as primary administrator for all equity compensation programs (e.g., stock options, RSUs)
Manage cap table integrity and oversee equity platform administration
Coordinate option grants, exercises, vesting events, and terminations
Own and manage the legal eBilling system and matter management platform
Leverage technology, including AI, to develop and implement Legal team processes and policies to improve team efficiency
Review, audit, and approve outside counsel invoices in accordance with billing guidelines
Coordinate the annual budgeting process for the Legal Department
Develop and maintain departmental forecasts and monthly variance analyses
Coordinate workstreams between responsible attorneys and internal clients
Act as primary point of contact for internal clients
Manage law firm/vendor relationships
5+ years of experience in legal operations, corporate governance, and/or law firm management
Direct experience with equity administration and cap table management required
Experience managing legal eBilling systems and vendor invoicing processes
Strong financial acumen and experience managing departmental budgets
Familiarity with corporate governance requirements, board processes, and preparing resolutions
High attention to detail and strong organizational skills
Ability to manage multiple priorities in a fast-paced environment
Strong written and verbal communication skills
Strong attention to detail and excellent organizational abilities
Capable of handling multiple tasks in a dynamic, team-oriented environment with discretion and professionalism
Excellent communications skills
Providing crisp and practical advice and synthesising complex issues succinctly and effectively, especially in circumstances where there is no existing guidance
