CEX.IO is seeking a distinguished Non-Executive Director to join the Board of our Spanish entity, CEX.IO Europe S.L.
As we navigate the landmark transition to full MiCAR authorization, you will serve as a critical pillar of our governance framework. Your role is to provide independent oversight, high-level strategic counsel, and a 'constructive challenge' to the Executive Management team.
You will hold a primary fiduciary responsibility to ensure that our operations maintain the highest standards of financial integrity and regulatory excellence.
Key competences:
- Governance experience with a track record in Senior Executive (and/or Non-Executive board member) roles, along with an understanding of corporate governance issues.
- Deep understanding of EU financial regulatory environments; prior experience with VASP or MiCAR-adjacent frameworks is highly valued.
- The ability to remain objective and provide a fiduciary check-and-balance to the executive team.
- Must be a tax resident of Spain, providing the "operational substance" required for regional licensing.
Main focus:
- Provide a high-level ‘strategic overview’ of the Spanish market, ensuring local operations align with CEX.IO’s global vision.
- Help executive directors in identifying hidden problems or external factors that may negatively impact our local business and its profitability
- Ensure strict adherence to the Markets in Crypto-Assets Regulation (MiCAR) and local Spanish financial mandates.
- Advise on and validate the development of robust risk management and internal control systems.
- Participate actively in Board meetings and specialized committees, providing knowledgeable arguments within a broader strategic context.
This is a part-time opportunity. You will be expected to dedicate sufficient time to the proper performance of your duties, which should amount to at least ~ 2 days per month.
