Tesco Controls, a UFT company, is hiring for a Risk & Contracts Manager. The Risk & Contracts Manager is a critical role responsible for safeguarding the organization against contractual, operational, and enterprise‑level risks within a complex systems integration and panel manufacturing environment. This position ensures that all client contracts, and subcontractor agreements align with the company’s risk tolerance, delivery capabilities, and standards. Reporting to and operating as a trusted advisor to the VP of the Project Management Office and executive leadership. The Lead oversees the full contract lifecycle, drives governance across project delivery teams, and proactively identifies systemic risks arising from integrating hardware, software, automation systems, and multi-vendor components within the automation industry.

This role is essential in an industry where integrators and manufacturers carry significant liability for system performance, interoperability, and commissioning outcomes. The Risk & Contracts Manager ensures that contractual frameworks are robust, disputes are minimized, and operational execution is protected from avoidable exposure. The Risk and Contracts Manager will be supported by in-house industry expertise, Project Managers and the support of external council as required.

  • Contract Negotiation & Lifecycle Management
  • Review, support negotiations, and administer complex client contracts.
  • Ensure all contractual terms reflect realistic delivery capabilities, technical constraints, and integration risks.
  • Manage the full contract lifecycle, from initial bid support through project closeout and warranty obligations. 
  • Enterprise & Project Risk Identification
  • Establish and maintain a comprehensive risk management framework tailored to systems integration and manufacturing operations.
  • Identify emerging contractual, operational, safety, and technology‑related risks across engineering, fabrication, installation, and commissioning phases.
  • Support in the evaluation of risk and mitigations measures.
  • Contractual Risk Assessment
  • Analyse high‑risk terms such as indemnities, warranties, liquidated damages, limitation of liability, IP ownership, and performance guarantees.
  • Recommend negotiation strategies to align terms with company risk thresholds and operational realities.
  • Provide executive‑level guidance on contractual exposure for major bids and strategic partnerships.
  • Subcontractor & Vendor Compliance
  • Oversee subcontractor and vendor adherence to contractual obligations, safety requirements, insurance certificates (COIs).
  • Conduct periodic compliance audits and performance reviews.
  • Operational Risk Integration
  • Collaborate with Engineering, Project Management, and Operations teams to embed risk controls.
  • Support root‑cause analysis for risk and contract-related issues.  
  • Dispute Resolution & Claims Management
  • Partner with legal counsel and project leadership to manage claims, variations, scope disputes, and schedule impacts.
  • Support Leadership in early‑intervention strategies to prevent escalation and protect organizational interests.
  • Maintain documentation to support defensibility in the event of disputes.
  • Policy, Governance & Standardization
  • Develop and enforce company‑wide contract management policies, templates, and standard operating procedures.
  • Implement governance frameworks that ensure consistency across bids, contracts, and subcontractor agreements.
  • Support adoption of Contract Lifecycle Management (CLM) tools and digital risk‑tracking systems.
  • Executive Reporting & Risk Communication
  • Prepare Board‑level reports, risk dashboards, and mitigation recommendations
  • Communicate complex risk concepts clearly to both technical and non‑technical stakeholders.
  • Provide strategic insights to guide organizational decision‑making and long‑term planning.
  • Experience
  • 10+ years in contract management, risk management, or commercial governance within, construction, engineering, or a technical services environment.
  • Technical & Legal Knowledge
  • Strong understanding of commercial contract law.
  • Working knowledge of PMI risk management publications.
  • Core Competencies
  • Analytical Ability: Skilled at evaluating complex contractual and operational data to identify systemic risks.
  • Negotiation: Able to influence clients, subcontractors, and senior internal stakeholders.
  • Communication: Capable of translating technical risk into clear, actionable guidance.
  • Technology Proficiency: Comfortable with risk management platforms, CLM tools, and standard business software.
  • Education
  • Bachelor’s degree in Business, Law, Engineering, or a related field.
  • PMP is advantageous.
