The Chief Legal Officer is responsible for ensuring full legal protection of the business, compliance, and safeguarding of the group’s assets in Thailand. The role combines both strategic responsibilities (holding structure, major transactions, regulatory interaction) and operational management of the legal function.

2. Compliance with Thai Law

Ensure full compliance of the holding’s activities with Thai legislation

Implement and oversee compliance policies (including PDPA and anti-corruption measures)

Work with regulatory requirements, including BOI

Support external audits in collaboration with the finance team
3. Contractual and Corporate Work

Draft, review, and monitor execution of contracts (including transactions from THB 50M+)

Provide legal expertise on key contracts and investment agreements

Manage corporate structure, shareholders, and board composition

Maintain legal documentation registers
4. Litigation and Claims Management

Handle litigation and pre-trial dispute resolution

Manage corporate disputes and conflicts with counterparties

Develop legal strategies to protect the company’s interests
5. Transaction Security and Asset Protection

Provide legal support for major transactions and investments

Conduct risk assessments and due diligence on counterparties and investors

Authority to initiate review or suspension of transactions if risks are identified
6. Government Relations

7. Cross-functional Collaboration

Oversee the security department (temporarily reporting to the CLO)
Request necessary information from all departments for risk assessment
Introduce changes to contracts and legal structures
Influence decision-making on key transactions (including the right to recommend suspension)
Sign legal opinions, including those related to annual reporting
Successful completion of external audits without material findings
Reduction and prevention of legal and compliance risks
Success rate in litigation (>50%, where applicable)
Timely identification and escalation of critical risks
Quality and responsiveness of legal support to the business
Absence of critical legal violations
Requirements
~1 min readStrong knowledge of Thai law: corporate, civil, labor, and tax
Practical experience working with BOI and regulatory authorities is a plus
Experience in development / real estate / hospitality is a strong advantage
Proven expertise in contract law and transaction structuring
Litigation experience
Knowledge of PDPA and information security requirements
Fluent English
Mandatory experience working with European and/or American companies
Strong leadership skills and team management experience
Ability to effectively work with Thai teams and navigate cultural context
Advanced negotiation skills and ability to defend a position
Strategic thinking with a strong focus on business protection
Ability to work with uncertainty and complex cases
Conflict management skills
Has prior experience working in Thailand and understands the local legal and business environment
Acts not only as a lawyer but as a true business partner to the CEO
Can balance risk management with business speed
Is capable of building an efficient and scalable legal function
